Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services provided by Apex Marketing LLC ("us", "we", or "our").

1. Agreement to Terms

By engaging our digital marketing services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service. These Terms apply to all clients, visitors, and others who access or use our services.

2. Provision of Services

Apex Marketing LLC agrees to provide digital marketing services as described in a mutually agreed-upon Statement of Work (SOW) or service agreement. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) management, Social Media Marketing, and Content Creation.

Timelines and Deliverables

Project timelines and specific deliverables will be outlined in the SOW. While Apex Marketing LLC will make every reasonable effort to meet the agreed-upon deadlines, we are not liable for delays caused by client unresponsiveness, third-party platform issues, or other factors beyond our direct control.

3. Payment Terms

Client agrees to pay Apex Marketing LLC for the services in accordance with the payment schedule outlined in the SOW or invoice. Services are typically billed on a monthly retainer basis, payable in advance. Failure to make timely payments may result in the suspension or termination of services.

4. Client Responsibilities

The client agrees to provide all necessary access to information and digital assets required for Apex Marketing LLC to perform its services. This includes access to website backends, advertising accounts, analytics platforms, and any relevant marketing materials. The client is responsible for the accuracy and legality of all content and materials provided to us.

5. Confidentiality

Both parties agree to keep confidential all non-public information obtained during the course of the business relationship. This includes business strategies, client data, campaign performance, and proprietary methodologies.

6. Limitation of Liability

Apex Marketing LLC does not guarantee specific results or outcomes from our digital marketing services, as performance is subject to many external factors. In no event shall Apex Marketing LLC be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

7. Termination

Either party may terminate the service agreement with a written notice period, as specified in the SOW (typically 30 days). Upon termination, the client is responsible for all fees incurred up to the effective date of termination.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page.
